Employer Success-Fee Terms

This order is between [LEGAL ENTITY NAME] (“HiringAI”) and [CLIENT LEGAL NAME AND LICENCE NUMBER] (“Client”). The person accepting confirms that they are authorised to bind the Client.

1. Role and service

HiringAI will identify, assess, explain, and—with candidate permission—introduce potential candidates.
The Client remains solely responsible for interviews, verification, immigration/work permission, offers, employment decisions, and the employment relationship.

2. No subscription; payment only after a successful start

There is no subscription or upfront placement fee. A success fee is earned only if a candidate introduced by HiringAI completes 30 consecutive calendar days of employment or engagement with the Client or any Client affiliate.

The launch success fee is 10% of the candidate's first-year fixed cash compensation, subject to a minimum of AED 7,500, plus VAT only where applicable.

“Fixed cash compensation” means monthly basic salary plus guaranteed fixed cash allowances, multiplied by 12. It excludes discretionary bonuses, non-guaranteed commission, equity, insurance, visa costs, relocation, and end-of-service benefits.

If the candidate leaves before completing day 30, no success fee is due. HiringAI will issue its invoice on day 31, payable within 14 calendar days.

3. Introduction and prior relationship

An “Introduction” occurs when HiringAI first provides information that identifies, or reasonably enables the Client to identify, the candidate for an employment or engagement purpose.

The Client must notify HiringAI within five business days if it had a documented, active recruitment relationship with the candidate before the Introduction. The notice must include reasonable contemporaneous evidence. Otherwise, the candidate is treated as introduced by HiringAI.

The success fee applies if, within 12 months after Introduction, the Client or an affiliate employs or engages the candidate directly or indirectly, including for a different role.

4. Client reporting

The Client will promptly and accurately tell HiringAI:

when it invites, interviews, offers to, hires, or engages an introduced candidate;
the agreed start date;
the candidate's fixed cash compensation and later changes affecting the fee before day 31;
whether the candidate completed day 30; and
any departure during the replacement period.

HiringAI may request reasonable evidence needed to calculate the fee. Candidate compensation will be handled as confidential personal data.

5. Replacement guarantee

If the success-fee invoice was paid on time and the candidate leaves after day 30 but on or before day 90, HiringAI will conduct one reasonable replacement search for the same substantially unchanged role at no additional success fee.

This is a replacement service, not a cash refund. It does not apply where departure or termination results from:

redundancy, restructuring, role elimination, or hiring freeze;
material changes to role, seniority, location, working arrangement, hours, or compensation;
unlawful, discriminatory, misleading, or unsafe conditions;
delayed/non-payment of compensation or another Client breach;
visa, permit, sanction, or regulatory issues not caused by HiringAI;
the Client's failure to notify HiringAI within five business days of departure; or
an overdue HiringAI invoice.

If no suitable replacement is available after a reasonable search, no refund is due unless the parties expressly agree otherwise in writing.

6. Candidate information

The Client may use candidate information only to assess the candidate for the disclosed role or another role discussed with the candidate. The Client will restrict access, protect the information, not use it for advertising or unrelated databases, and delete it when no longer required under the data-sharing terms or law.

The Client will not contact a candidate's current employer or references without the candidate's permission and will not charge the candidate any recruitment, introduction, or placement fee.

7. Compliance

The Client will comply with applicable employment, immigration, wage, anti-discrimination, Emiratisation, advertising, privacy, and security requirements. HiringAI may suspend an introduction if the role, Client, or requested criteria appear unlawful, misleading, discriminatory, or unsafe.

8. Relationship to other terms

The HiringAI Terms & Conditions, Privacy Policy, and applicable data-sharing terms form part of this order. If this signed order conflicts with the public Terms on price, payment timing, exclusivity, or replacement, this order controls for those commercial matters.
